The Japanese text controls, and the English text is provided as a reference translation. ----------------------------------------------------------------------- AUTOVOX END USER LICENSE AGREEMENT Owner-approved final text — 2026-08-13 This End User License Agreement (the “Agreement”) is between you and Full Frassel (Kosho Takenaka) (“Licensor”) for the AutoVox Suite A/B/C audio plug-in software, License Manager, documentation, and updates supplied under this Agreement (collectively, the “Software”). By installing, activating, or using the Software after this Agreement becomes effective, you agree to it. If you do not agree, do not install, activate, or use the Software and follow the seller’s stated cancellation or refund process. Mandatory consumer rights that cannot lawfully be waived remain unaffected. 1. License grant Subject to payment, a valid AutoVox license, and this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the Software on no more than two computers at a time for your own music, audio, production, education, or commercial work. For the initial BOOTH sale, one AutoVox license enables Type A, Type B, and Type C on the supported Windows platform stated for the applicable release. The license is for the purchaser or purchasing organization and is not a sale of the Software or its source code. A macOS installer, AU/VST3 entitlement, and macOS support are not included in the initial purchase. A future macOS release is not guaranteed; its timing, availability, and supported environments will be announced separately if it is ever offered. 2. License term and updates The purchased license is perpetual for the licensed major-version family. An Early Access purchase includes AutoVox 1.0 and updates in the 1.x family at no additional license charge. A future 2.0 or later major version is not included unless Licensor expressly states otherwise. Licensor does not promise a particular update schedule, feature, host, DAW, or operating-system support period. Updates may add, change, or remove features to address defects, compatibility, security, or product development. An update may have separate system requirements and release notes. 3. Activation and device slots Initial activation requires an Internet connection. Activation binds a device slot to a cryptographic public key created on that computer. The corresponding private key is protected by the operating system and is not sent to Licensor. You may use License Manager on an accessible activated computer to deactivate it, release its slot, and activate a replacement computer. There is no fixed limit on the number of these ordinary transfers, but no more than two computers may be activated at the same time. Normal deactivation does not ordinarily require you to re-enter the activation code. If reinstallation, operating-system reset, hardware replacement, loss, failure, or corruption makes the old computer inaccessible, support-assisted slot recovery or release is not provided at the initial paid sale. If Licensor offers it in the future, Licensor will first update this Agreement and the Privacy Notice and then identify a dedicated secure input page. Do not send a complete activation code through ordinary email, social media, or a public post. Any future procedure, identity verification, release scope, and other conditions will be governed by the updated Agreement and Privacy Notice. You must not share an activation code or use it to exceed the licensed device limit. After successful Production activation, the local entitlement is non-expiring and normal audio processing does not require continuous Internet access. The Software may make an optional online request when you ask it to activate, deactivate, or check for updates. 4. Early Access and unsigned Windows builds An Early Access release may be incomplete, may change, and may contain defects. The Windows Early Access installer may not yet carry an Authenticode publisher signature, so Windows can display “Unknown publisher,” Microsoft Defender SmartScreen, Smart App Control, or organization-policy warnings. Do not disable security software or policy to install AutoVox. Compare the installer SHA-256 with the value published for the exact official file. 5. Restrictions Except to the extent expressly permitted by this Agreement or mandatory law, you must not, and must not enable another person to: a. copy, rent, lease, sell, sublicense, redistribute, or make the Software available as a standalone product or hosted service; b. remove or alter copyright, license, signature, update-verification, or attribution notices; c. bypass activation, device limits, license enforcement, access controls, signature verification, update verification, or other technical protection measures; d. reverse engineer, reverse compile, decompile, disassemble, translate, modify, or otherwise attempt to derive the Software’s source code, non-public object-code structure, private protocols, or non-public implementation; or e. use information obtained through prohibited conduct to reproduce, reconstruct, or enable a substitute for a non-public implementation. This Agreement does not impose a fixed contractual penalty or criminal penalty for a breach. Remedies for breach are governed by Section 12 and do not prevent recovery of actual loss to the extent permitted by applicable law. Where applicable law allows the parties to agree to this limitation, a lawful licensee may observe, measure, and test externally visible input/output behavior solely through ordinary documented operation of a lawfully activated copy for that licensee’s private use. This permission does not authorize decompilation, disassembly, code or memory extraction, circumvention, interference with another person’s systems or data, or access beyond ordinary user interfaces. Nothing in this Agreement prohibits an act to the extent that applicable law does not permit the act to be restricted or affirmatively protects it, including any mandatory right concerning interoperability, error correction, observation, study, testing, good-faith security research, whistleblowing, or regulatory reporting, provided all legal conditions are satisfied. 6. Your content You retain ownership of audio, projects, presets, and other content you create. This Agreement does not give Licensor a right to inspect your audio, projects, files, or computer. You are responsible for your source material, backups, project compatibility, and compliance with rights held by others. 7. Privacy The Privacy Notice at https://fullfrassel.com/autovox/privacy describes data used for licensing, security, updates, and support. The Software is not designed to upload your audio or DAW project content and has no feature that automatically collects or transmits diagnostics, usage data, crash reports, or other diagnostic information. The Windows License Manager can create a local JSON support report only when you explicitly request it. Before saving, it displays the complete report. It does not automatically upload or transmit the report. The report contains product, Windows, and license status and may contain hardware and graphics information selected by you. Audio-device names are excluded by default and are included only if you select them. The report does not contain audio, DAW projects, activation codes, entitlement files, device keys, user or computer names, network identifiers, hardware serial numbers, or file paths. Do not send full activation codes, entitlement files, protected device keys, passwords, payment details, or token-bearing download links to support. The initial paid sale does not provide slot recovery for an inaccessible or lost computer, and no secure code-entry page is offered for that purpose. If a future recovery service is offered, Licensor will first update this Agreement and the Privacy Notice and then identify the dedicated secure page. 8. Third-party components The Software may include third-party components governed by their applicable notices and licenses. This Agreement does not reduce rights granted under an applicable open-source license. 9. Support Current support methods, supported systems, installation guidance, and known limitations are published at https://fullfrassel.com/autovox/support and https://fullfrassel.com/autovox/known-limitations. The initial paid sale does not provide slot recovery for an inaccessible or lost computer. If Licensor offers it in the future, Licensor will update this Agreement and the Privacy Notice before identifying a dedicated secure input page. Licensor normally sends an initial response to an inquiry within two business days. Licensor may request that you voluntarily provide your operating-system, DAW, and AutoVox versions, error message, and reproduction steps as needed to investigate a problem. This does not mean that the Software automatically collects or transmits diagnostics. 10. Warranty disclaimer To the maximum extent permitted by applicable law, the Software and Early Access services are provided “as is” and “as available,” without warranties that they will be uninterrupted, error-free, fit for every purpose, compatible with every system, or that data loss will never occur. Nothing in this section excludes a warranty or remedy that cannot lawfully be excluded. 11. Limitation of liability To the maximum extent permitted by applicable law, Licensor is not liable for indirect, incidental, special, exemplary, or consequential loss, including lost profits, lost recordings, lost projects, loss of data, or business interruption. Licensor’s aggregate liability arising from the Software will not exceed the amount actually paid for the affected license. These exclusions and the liability cap apply only to ordinary negligence that does not amount to intentional misconduct or gross negligence. They do not apply where prohibited by law, including liability for intentional misconduct, gross negligence, death or personal injury, or mandatory consumer remedies. 12. Termination Licensor may terminate this Agreement if you materially breach it and fail to cure a curable breach after reasonable notice. For a license that has been validly refunded or chargebacked under the seller's published terms, Licensor may suspend or revoke future license issuance, support-assisted slot recovery, and eligibility to use a future version that implements online verification. These measures remain subject to applicable law and Section 13. If terminated or suspended, you must stop using and delete the Software, except for copies retained only where law requires. Termination does not remove rights or remedies that accrued before termination. Nothing prevents Licensor from seeking remedies for actual loss caused by conduct prohibited in Section 5 to the extent permitted by applicable law. 13. Changes to this Agreement The Agreement accepted for a purchased perpetual license remains available. Licensor will not use a later online change to retroactively remove a material perpetual-license right without your express agreement. A materially different new feature or service may require separate terms presented before use. If a future version implements clearly disclosed periodic online license-status verification, Licensor may prohibit use of that future version for a license terminated under Section 12 or validly refunded or chargebacked under the published seller terms. This exception does not technically invalidate an already activated offline entitlement for AutoVox 1.0 retroactively. 14. Governing law and disputes This Agreement is governed by the laws of Japan. Nothing in this section limits mandatory law or statutory venue available to a customer acting as a consumer. For disputes with a non-consumer customer, or to the extent permitted by applicable law, the Kofu District Court is the exclusive agreed court of first instance. 15. General If a provision is unenforceable, it will be limited only to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign this Agreement without Licensor’s written consent, except where applicable law provides otherwise. This Agreement and the incorporated Privacy Notice are the complete agreement concerning the Software, subject to mandatory law and any seller terms expressly identified at purchase. 16.
